Jon Stanley’s practice involves a variety of corporate and securities matters, including mergers and acquisitions, securities filings, corporate governance, and other transactional matters. Within these fields he serves a broad base of clients, ranging from large private equity firms to founder-owned local businesses. Many of his clients are healthcare companies or companies that serve the healthcare industry, and he is well-versed in the special regulatory issues that these companies face. Jon’s practice includes:
- Mergers & Acquisitions – Representing clients on a variety of public and private change of control transactions, including special committee representation, going private transactions, tender offers, acquisitions of ESOP’s, and representations and warranties insurance supported acquisitions.
- Public Company Advisory & Corporate Governance – Advising companies on various corporate governance and SEC compliance issues, including periodic filings with the SEC, and matters related to executive compensation and fiduciary duties of boards of directors.
- Private Equity – Guiding U.S. based and international private equity funds and their platform companies in strategic acquisitions and restructurings.
- Venture Capital – Efficiently handling investments in start-up and growth companies on behalf of both founders and investors.
