Welcome to the 2014 issue of Bass, Berry & Sims’ Year-End Review of Securities and Shareholder Litigation.
This survey examines trends and developments in securities and shareholder litigation during 2014, with a focus on developments in the law governing corporate directors’ exercise of their fiduciary duties, particularly as they pertain to the adoption of bylaws and corporate change of control.
2014 was another busy and successful year for Bass, Berry & Sims’ Securities and Shareholder Litigation Group. Our team spent the year defending lawsuits challenging mergers and other corporate control transactions, derivative litigation asserting breaches of fiduciary duty by directors, and class action lawsuits brought under federal and state securities laws, as well as ERISA.
