Bass, Berry & Sims member Kate Hardey will be speaking on the panel “Health Care Transaction Diligence 101: Don’t Judge a Target by its Cover” during the American Health Law Association’s (AHLA) Fundamentals of Health Law conference.

The panel will provide a practical, high-level look at health care transactions involving hospitals and health systems, using case studies and real-world examples to explore the importance of diligence throughout the transaction lifecycle. Panelists will discuss how to effectively plan and manage diligence, identify and prioritize potential red flags, coordinate internal and external workstreams, prepare for management calls and address diligence findings through closing and beyond.

Topics will include:

  • Big picture – where are you in the lifecycle of a transaction when you’re conducting diligence
  • Managing cross functional workstreams (internal and outside advisors) and planning
  • Initial Diligence Scoping: Where to start and defining red flags
  • Management Call Prep: How to use this time and what to cover
  • Diligence Management: Prioritizing resources and knowing when to stop
    • Purchase agreement edits and disclosure schedules
  • Lender/RWI Considerations and Diligence: Know your audience
    • Brief thoughts and comments on the diligence memo
