Sweeping changes to the rules for filing premerger notifications under the Hart-Scott-Rodino (HSR) Act will transform the process for mergers and other transactions. Under these radical changes, HSR filings will take much more time to draft and will require the disclosure of many more documents and information. In addition, for every filing, parties will be required to submit descriptions of the antitrust issues that could exist (or why they do not) for every deal. This will likely result in significantly higher transaction expenses and longer times to close.
